1. Agreement to Terms
By accessing or using the services provided by KVEC Systems ("Company," "we," "our," or "us"), including our website, APIs, and AI-powered solutions, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
KVEC Systems provides AI and machine learning solutions for government agencies, healthcare systems, and commercial enterprises. Our services include but are not limited to:
- Development Membership — an ongoing software development subscription
- Single Builds — fixed-price development of AI assistants, automations, and applications
- Custom engagements — data platforms, research-security tooling, and consulting for government and commercial clients
3. Paid Engagements and Billing
Development Membership. The Development Membership is a recurring subscription billed monthly in advance through Stripe at the price displayed at checkout. You may submit unlimited work requests to your queue; requests are worked one at a time. You may pause or cancel your membership at any time; pausing or canceling stops future billing and takes effect at the end of the current billing period. Fees for the current billing period are non-refundable except as described in Section 12 (Termination) or where required by law. We will provide at least 30 days' notice before any change to your subscription price, and no price change will apply mid-cycle.
Single Builds. Single Builds are fixed-price engagements. The scope, deliverables, and delivery timeline are agreed in writing (email is sufficient) before work begins, and the agreed scope controls over any marketing description. Delivery timelines are good-faith estimates measured from scope agreement and receipt of any materials or access we reasonably need from you.
Scope. We may decline or return requests that are unlawful, that require professional licensure we do not hold (such as legal or medical advice), or that materially exceed the scope of the engagement — in which case we will tell you and propose an alternative.
4. Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our services, you represent and warrant that you meet these requirements.
5. User Accounts
Certain features may require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
6. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malicious code, viruses, or other harmful content
- Attempt to gain unauthorized access to our systems or infrastructure
- Reverse-engineer, decompile, or disassemble any part of our services
- Use our services to make autonomous clinical decisions without qualified human oversight
- Exceed rate limits or abuse API access in a manner that degrades service for others
7. Intellectual Property
Client deliverables. Upon full payment for the applicable engagement, all custom source code, documentation, and other deliverables we create specifically for you under a Development Membership, Single Build, or custom engagement are assigned to you and become your property. You may run, modify, distribute, and build on them without restriction or further payment to us.
Pre-existing materials. Tools, libraries, templates, and know-how that we developed before or outside your engagement remain our property. To the extent any are embedded in your deliverables, you receive a perpetual, non-exclusive, royalty-free license to use them as part of those deliverables. Deliverables may also include third-party open-source components, which are governed by their own licenses.
Our website and services. Except for client deliverables described above, all content, software, and documentation provided through our website and services are the intellectual property of KVEC Systems or its licensors, and you may not copy, modify, or redistribute them without prior written consent.
8. Data and Privacy
Your use of our services is also governed by our Privacy Policy. For healthcare-related services, additional data handling provisions may apply under separate agreements.
9. Disclaimers
Our services are provided on an "as is" and "as available" basis. KVEC Systems makes no warranties, express or implied, regarding:
- The accuracy, completeness, or reliability of AI-generated outputs
- Uninterrupted or error-free operation of our services
- Fitness for a particular purpose or non-infringement
Our AI tools are designed to assist, not replace, professional judgment. Healthcare outputs are for informational purposes only and do not constitute medical advice, diagnosis, or treatment.
10. Limitation of Liability
To the maximum extent permitted by law, KVEC Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claims arising under these Terms shall not exceed the amounts paid by you to KVEC Systems in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless KVEC Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests. Upon termination, your right to use our services ceases immediately.
If we terminate a paid Development Membership without cause, we will refund the prorated unused portion of the current billing period. Termination does not affect your ownership of deliverables already paid for under Section 7.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Washington, D.C.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the revised Terms.
